Terms of Service
Last updated: October 29, 2026
1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of perdiemconnect.com and related services (the "Platform") operated by Perdiem Connect ("we," "us," or "our"). By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
2. The Platform
Perdiem Connect is a marketplace that connects law firms with independent per diem attorneys for court appearances, depositions, and related assignments. Perdiem Connect is not a law firm, does not provide legal services or legal advice, and is not a party to the attorney-client relationship between any law firm and its clients.
3. Eligibility and Accounts
- Per diem attorneys must be licensed and in good standing in each jurisdiction where they accept assignments.
- Law firms must be authorized to engage per diem counsel on behalf of their clients.
- You must provide accurate, complete information and keep it up to date, including W-9 and payment details where required.
- You are responsible for all activity under your account and for the team members you invite to your firm account.
4. Assignments
Law firms may post assignments with accurate details, including date, time, location, case information, and any required documents. Per diem attorneys may express interest in or claim assignments as offered on the Platform.
Once an assignment is accepted, the per diem attorney agrees to perform it professionally, on time, and in accordance with the firm's instructions and all applicable rules of professional conduct, and to submit required work product and reports through the Platform.
5. Independent Contractor Relationship
Per diem attorneys are independent contractors and are not employees, agents, or partners of Perdiem Connect. Each attorney is solely responsible for their own legal work, professional judgment, malpractice coverage, and tax obligations.
6. Fees, Payments, and Payouts
Law firms agree to pay invoices for completed assignments according to the applicable fee schedule. Payments are processed through our third-party payment processor, Stripe. Card payments may be subject to a processing surcharge as disclosed at checkout.
Per diem attorneys are paid for approved work through payouts to their connected account. Payouts may be delayed until required tax documents are on file and the corresponding invoice has been paid.
Cancellation, bust, and other fees may apply as described in the fee schedule. Refunds are issued at our discretion or as required by law.
7. Non-Circumvention
For a period of twelve (12) months after an introduction made through the Platform, users agree not to arrange assignments directly with each other to avoid fees owed to Perdiem Connect.
8. Confidentiality
Users must keep confidential all case information, documents, and client details received through the Platform, use them only to complete the related assignment, and comply with all applicable professional confidentiality obligations.
9. Prohibited Conduct
- Providing false, misleading, or incomplete information.
- Using the Platform for any unlawful purpose or in violation of professional conduct rules.
- Harassing, abusing, or harming other users.
- Attempting to access accounts, data, or systems without authorization, or interfering with the Platform's operation.
10. Termination
We may suspend or terminate your account at any time if you violate these Terms or if we believe your use of the Platform creates risk for us or other users. You may close your account at any time. Outstanding payment obligations survive termination.
11. Disclaimers
The Platform is provided "as is" and "as available." We do not guarantee the availability of assignments or per diem attorneys, and we are not responsible for the quality, outcome, or legality of any legal work performed by users.
12. Limitation of Liability
To the fullest extent permitted by law, Perdiem Connect will not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim relating to the Platform will not exceed the fees paid to Perdiem Connect in connection with the assignment giving rise to the claim during the twelve (12) months before the claim.
13. Indemnification
You agree to indemnify and hold harmless Perdiem Connect from any claims, losses, or expenses, including reasonable attorneys' fees, arising from your use of the Platform, your legal work, or your violation of these Terms.
14. Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any dispute will be resolved exclusively in the state or federal courts located in New York.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you through the Platform or by email. Continued use of the Platform after changes take effect means you accept the updated Terms.
